Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sendance platform ("Service"), operated by Sendance ("we", "us", or "our") and available at sendance.app. Please read these Terms carefully before using the Service. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Account Registration

1.1 Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate, current, and complete.

1.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

Use a strong, unique password for your account
Notify us immediately at support@sendance.app if you suspect unauthorized access
Accept responsibility for all activity that occurs under your account

We reserve the right to terminate accounts that are found to be compromised or used in violation of these Terms.

1.3 One Account Per User

Each person may maintain only one account. Creating multiple accounts to circumvent usage limits, credit restrictions, or account suspensions is prohibited and may result in permanent termination of all associated accounts.

2. Subscription Plans and Billing

2.1 Available Plans

Sendance offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at the time of purchase. Plan features, limits, and pricing are described on our Pricing page and are subject to change with reasonable notice.

2.2 Billing and Payment

All fees are charged in US dollars unless otherwise specified.
Paid subscriptions automatically renew at the end of each billing period unless cancelled.
You authorize us to charge your payment method on file for all applicable fees.
Failed payments may result in service interruption. We will notify you of payment failures and provide a grace period to update your payment method.

2.3 Plan Changes

Upgrades take effect immediately. The price difference for the remainder of the billing cycle is prorated.
Downgrades take effect at the start of the next billing period. You retain access to your current plan until then.

2.4 Refunds

Refunds are governed by our Refund Policy. In summary, we offer a 7-day money-back guarantee for new subscriptions. After this window, subscription fees are non-refundable except as required by applicable law.

3. Credit System

3.1 What Credits Are

The Service uses a credit system to meter AI video generation and other resource-intensive features. Each action (e.g., generating a video clip) consumes a defined number of credits based on factors such as duration, resolution, and model used. Credit costs are displayed before you initiate each generation.

3.2 Credit Allocation

Subscription plans include a monthly credit allocation that resets at the start of each billing cycle.
Unused monthly credits do not roll over to the next cycle unless your plan explicitly states otherwise.
Additional credits may be purchased as one-time top-ups at the rates listed in your account dashboard.

3.3 Credit Expiry

Monthly subscription credits expire at the end of each billing cycle.
Purchased top-up credits are valid for 12 months from the date of purchase.
All credits expire upon account termination.

3.4 No Refunds on Credits

Credit top-up purchases are non-refundable. Credits have no monetary value and cannot be transferred, sold, or exchanged for cash.

4. Acceptable Use

4.1 Permitted Uses

You may use the Service to generate video content for personal, creative, commercial, and professional purposes, subject to these Terms.

4.2 Prohibited Uses

You agree not to use the Service to:

Generate, distribute, or promote content that is illegal, defamatory, obscene, or violates the rights of any third party
Create non-consensual intimate imagery (NCII) or any sexually explicit content depicting real or realistic-looking individuals without explicit consent
Produce deepfakes or synthetic media designed to deceive, manipulate, or harm identifiable real people
Generate content that incites violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
Produce content that facilitates or glorifies terrorism, human trafficking, child exploitation, or other serious crimes
Infringe the intellectual property rights of others, including copyrights, trademarks, and rights of publicity
Attempt to reverse-engineer, extract model weights from, or otherwise compromise our AI systems
Circumvent usage limits, rate limits, or access controls through automation, scraping, or other technical means without our prior written consent
Resell access to the Service or sublicense your account to third parties
Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure

Violation of these prohibited uses may result in immediate account suspension or termination without refund.

5. Content Ownership and Licenses

5.1 Your Content

You retain full ownership of any prompts, inputs, and other content you submit to the Service ("Input Content"). You also own the videos and other media outputs generated by the Service based on your inputs ("Generated Content"), subject to the limitations in Section 5.3.

5.2 License to Sendance

By submitting Input Content and generating outputs, you grant Sendance a limited, worldwide, royalty-free license to process, store, and reproduce your content solely to the extent necessary to operate and improve the Service. We do not claim ownership of your Generated Content and do not use it for commercial purposes beyond operating the platform.

5.3 Responsibility for Generated Content

You are solely responsible for the Generated Content you create and how you use it. You represent and warrant that:

Your use of Generated Content complies with all applicable laws
Generated Content does not infringe the rights of any third party
You will not use Generated Content for any prohibited purpose listed in Section 4.2

5.4 Sendance Intellectual Property

All software, design, trademarks, and other intellectual property associated with the Service are owned by Sendance or its licensors. These Terms do not grant you any rights to use our brand, logo, or technology beyond what is necessary to use the Service as intended.

6. Service Availability and Modifications

6.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, infrastructure issues, or events beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

6.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable advance notice of significant changes. Your continued use of the Service after changes take effect constitutes acceptance of the updated Service.

6.3 AI Model Updates

The AI models powering the Service are updated regularly to improve quality and performance. Generation results may vary over time as models are updated. We do not guarantee that results will be identical across model versions.

7. Third-Party Services

The Service integrates with third-party services including Cloudflare (infrastructure), Brevo (email), and Stripe (payments). Your use of the Service is also subject to the applicable terms and privacy policies of these third parties. We are not responsible for the practices or conduct of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDANCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sendance and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

Your use of the Service in violation of these Terms
Your Generated Content and any third-party claims related to it
Your violation of any applicable law or the rights of any third party

11. Termination

11.1 Termination by You

You may cancel your subscription and delete your account at any time from your account settings. Cancellation is effective at the end of the current billing cycle. Account deletion is immediate and will result in permanent loss of your Generated Content stored on our servers.

11.2 Termination by Sendance

We may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users. In cases of serious violations (e.g., generating illegal content), termination is immediate and no refund will be issued.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination — including content ownership, limitation of liability, indemnification, and governing law — will survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to informal negotiation by contacting us at support@sendance.app. If the dispute is not resolved within 30 days, it shall be subject to binding arbitration administered under applicable commercial arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or other claims that require emergency relief.

You waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

14. Miscellaneous

Entire Agreement — These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sendance regarding the Service.
Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver — Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
